1. Agreement to Terms

By accessing or using Caleffi Price Manager ("the Platform," "we," "our," or "us"), operated by Caleffi SPA, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

This is a binding legal agreement between you (the "User," "Seller," or "you") and Caleffi SPA, operator of the Platform.

2. Description of Service

Caleffi Price Manager is a multi-tenant SaaS platform operated by Caleffi SPA that provides automated price management for Amazon Sellers. The Platform:

  • Connects to Amazon Seller Central via OAuth 2.0 authentication
  • Retrieves product listings from your Amazon account
  • Matches products using EAN and ASIN identifiers
  • Automatically updates product prices based on your master catalog
  • Provides analytics, logs, and reporting tools

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old
  • Have a valid Amazon Seller Central account
  • Have the authority to bind your business to these Terms
  • Comply with Amazon's Terms of Service and API Usage Policies
  • Not be prohibited from using the service under applicable law

4. Account Registration and Security

4.1 Amazon OAuth Authorization

You authorize the Platform to access your Amazon Seller Central account via Amazon SP-API. This grants us permission to:

  • Read product listings and pricing information
  • Update product prices
  • Access inventory data for product matching

4.2 Security

You are responsible for maintaining the confidentiality of your Amazon credentials. You agree to:

  • Not share your access credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

5. Pricing and Payment

5.1 Subscription Plans

  • Starter: Free (up to 100 products, 1 seller)
  • Professional: €99/month (up to 5,000 products, unlimited sellers)
  • Enterprise: Custom pricing (unlimited products and sellers)

5.2 Billing

  • Subscriptions are billed monthly in advance
  • All fees are non-refundable unless required by law
  • We may change pricing with 30 days' notice
  • Payment is processed via secure third-party providers (Stripe)
  • You authorize recurring charges to your payment method

5.3 Free Trial

Professional plan includes a 14-day free trial. Your payment method will be charged automatically at trial end unless you cancel.

6. User Responsibilities

You agree to:

  • Data Accuracy: Ensure product data (EAN, ASIN, pricing) in your Amazon account is correct
  • Compliance: Follow Amazon's Terms of Service and Seller Policies
  • Verification: Regularly verify price updates for accuracy
  • Liability: Accept full responsibility for pricing decisions made by the Platform based on your settings
  • Prohibited Use: Not use the Platform for illegal activities or to violate Amazon policies

7. Platform Responsibilities and Limitations

7.1 What We Do

  • Provide reliable price synchronization services
  • Maintain 99.9% uptime SLA (Professional and Enterprise plans)
  • Securely store and encrypt your data
  • Provide customer support during business hours

7.2 What We Do NOT Do

  • We are NOT responsible for incorrect EAN/ASIN associations in your Amazon account
  • We do NOT guarantee specific sales outcomes or profit margins
  • We are NOT liable for pricing errors caused by incorrect master catalog data
  • We do NOT provide tax, legal, or business consulting advice
  • We are NOT responsible for Amazon policy violations or account suspensions

8. Data Ownership and Usage

8.1 Your Data

You retain full ownership of your business data, including product information, pricing, and sales data. We access this data solely to provide the service.

8.2 Platform Data

We may collect and use anonymous, aggregated analytics for platform improvement. This data does not identify individual users or businesses.

8.3 Data Export

You can export your data at any time. Upon account termination, we will provide a data export within 30 days if requested.

9. Intellectual Property

The Platform, including its software, algorithms, design, and documentation, is owned by Caleffi SPA and protected by copyright and other intellectual property laws. You may not:

  • Reverse engineer, decompile, or disassemble the Platform
  • Copy, modify, or create derivative works
  • Remove proprietary notices or labels
  • Use the Platform to develop competing services

10. Limitation of Liability

LEGAL DISCLAIMER:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALEFFI SPA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, data, or business opportunities
  • Pricing errors resulting from incorrect source data
  • Amazon account suspensions or policy violations
  • Service interruptions or data loss
  • Third-party actions (Amazon, payment processors, etc.)

MAXIMUM LIABILITY: Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim, or €500, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Caleffi SPA from any claims, damages, or expenses arising from:

  • Your use of the Platform
  • Violation of these Terms
  • Violation of Amazon's policies or third-party rights
  • Incorrect data provided to the Platform

12. Termination

12.1 By You

You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees
  • Engage in fraudulent or illegal activity
  • Misuse the Platform or cause harm to our systems

12.3 Effect of Termination

Upon termination:

  • Your access to the Platform is revoked immediately
  • OAuth tokens are deleted
  • Automatic price updates cease
  • You may request a data export within 30 days
  • After 30 days, your data may be permanently deleted

13. Modifications to Terms

We may update these Terms at any time. Material changes will be notified via email at least 30 days in advance. Continued use after changes constitutes acceptance. If you disagree, you may terminate your account.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, contact us at customer.care@caleffionline.it to attempt informal resolution.

14.2 Governing Law

These Terms are governed by Italian law. Disputes shall be resolved in the courts of Italy.

14.3 EU Users

EU consumers may also use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us
  • Severability: If any provision is invalid, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce a right does not waive that right
  • Assignment: You may not transfer your account. We may assign our rights
  • Force Majeure: We are not liable for delays caused by events beyond our control
